Consulting Agreement
Parties:
This Agreement is made between Ed Scholz (“Consultant”) and Hot Apollo, represented by [Frontman’s Full Name] (“Client”), on this ___ day of __________, 2025.
1. Purpose
The Client engages the Consultant to provide general consulting, advisory, and training services to support Hot Apollo’s creative, strategic, and professional development.
2. Scope of Services
a. The Consultant shall provide general advice, guidance, and conceptual feedback related to the Client’s artistic, business, and strategic goals.
b. Areas of consulting may include, but are not limited to:

Networking and relationship-building

Marketing and audience development
-
Communications and public relations
-
Data analysis and performance insights
-
Metacognition and self-development
-
Interpersonal Performance and Metacognitive Development, including timing, storytelling, personal brand creation, communication improvement, and performance practice.
c. The Consultant’s role focuses on idea generation, training, and strategic support.
d. Any task, project, or deliverable requiring more than 2.5 hours per month shall be handled under a separate written proposal and contract.
e. The Consultant may, as a goodwill gesture, offer a general check-up call at least once per month (and occasionally more often) to touch base and discuss general concerns. The timing and length of this call shall vary according to mutual availability and circumstance. This call is optional and provided at the Consultant’s discretion, not as a contractual entitlement.
f. The parties acknowledge that the monthly retainer represents a discounted rate. As such: -
Consulting sessions and information shared are non-exclusive.

Work product, concepts, and insights developed outside of music-related consulting may be used by the Consultant at their discretion.
3. Retainer and Payment
a. The Client shall pay the Consultant a monthly retainer of $50 CAD, via Amazon gift card to the Consultant’s designated email address.
b. Payment is due on the 1st day of each calendar month.
c. A grace period of 14 total days per calendar year is permitted for occasional late payments without penalty.
d. After the grace period, payments received more than 14 days late shall incur a late fee of $50 CAD per two-week period of delay.
e. The retainer covers up to 2.5 hours per month of consultation and ideation.
f. Any additional work or project beyond that scope will be billed separately, typically starting at $250 CAD per project, with prior written approval.
4. Intellectual Property and Future Work Recognition
a. All ideas, concepts, and intellectual materials shared by the Consultant remain the property of Ed Scholz, unless otherwise agreed in writing.
b. The Client may review and discuss such ideas but shall not implement or distribute them without an approved project agreement including IP transfer or licensing terms.
c. Work product, methods, or materials created by the Consultant outside of direct music-related consulting remain the Consultant’s property and may be reused at their discretion.
d. For any future works or projects created by the Client during the consulting period, or within a reasonable period thereafter, it is acknowledged that such works are affected by the Consultant’s input, guidance, and advisory services. As such:

The Consultant, Ed Scholz, shall be recognized as Brand Consultant, Creative Advisor, or an equivalent title, as reasonably determined by the Consultant, in relation to all such works.

Recognition may appear in various media, including but not limited to:

Album liner notes or CD booklets

Digital streaming platforms (e.g., Spotify, Apple Music, Bandcamp)

Marketing materials or press releases
-
Social media or other promotional content

This list is illustrative only; the Consultant may reasonably require recognition in any other medium where the work is published, distributed, or promoted.
e. Non-compliance penalty: If the Client fails to provide proper recognition under Section 4(d), the Consultant shall be entitled to:

Written notice of non-compliance and an opportunity to cure within 14 days;

A penalty fee of $250–$500 CAD per instance, if the issue is not remedied;

Any additional legal or equitable remedies, including injunctions or damages, as necessary to enforce proper recognition.
5. Communication and Availability
a. The Consultant shall be reasonably available for communication via email, message, or phone during standard business hours.
b. The retainer covers normal correspondence, ideation, and advisory time.
6. Term and Termination
a. This Agreement operates on a month-to-month basis, beginning upon the first payment.
b. Either party may terminate this Agreement with 7 days’ written notice.
c. Payments already made are non-refundable; however, services for the paid month will be completed in good faith.
7. Entire Agreement
This document constitutes the full understanding between both parties and supersedes any prior verbal or written agreements.
